The question this issue poses
In one sentence
Tenty's revenue from operations rose 97.91% to ₹822.25 Cr in FY26 because it consolidated Polar Elektric for a full year for the first time, so the question this offer poses is whether a 29-year plastics moulder that now earns most of its revenue selling bought-in Polar fans on borrowed money can turn that brand into owners' profit - FY26 profit attributable to owners was ₹14.87 Cr, and profit before tax of ₹25.17 Cr included a ₹15.52 Cr non-cash gain on fair valuation of financial liabilities.

How this issue scores, and why
Every pillar opens to show the raw metric, the curve it was mapped through, the sub-score and its weight. Disagree with the weighting if you like — the arithmetic is all here.
IPOVista score
A trade-off in both directions
55% of the scoring model was backed by disclosed data for Tenty, giving low confidence. Weights for anything missing were redistributed rather than scored as zero.
How this score is builtBelow the line: market sentiment. Capped at 8 of 100 points so a hot grey market can tilt a score but never carry one.

The company
What the business actually does
Founded 1997 · Kolkata, West Bengal
Tenty began as a Kolkata plastics moulder and still is one: it makes rigid plastic packaging (RPP) products - food containers, bottles, jars, caps, closures, dispensing closures, snap-on lids, cosmetic cream jars and standard and custom PET preforms - and writing instrument components, meaning pen bodies, pen caps and pen refills, for FMCG and pen companies. Its largest customer is Linc Limited, a relationship of over 16 years. On 31 March 2025 it took control of Polar Elektric Limited, the owner of the 'Polar' brand of ceiling fans (including BLDC 5-star models), table-pedestal-wall and exhaust fans, water and immersion heaters, room heaters, kettles, irons and cooking appliances. Tenty held 51.43% of Polar from that date, bought another 47.92% during FY26 and holds 99.35% at the date of the DRHP. The acquisition has changed what the company is: electric fans and household electrical appliances were 23.93% of revenue from operations in FY24 and 63.04% in FY26. Manufacturing runs from eight facilities - seven in Kolkata and Howrah in West Bengal and one near Guwahati in Assam - with 21 warehouses and 10 branch offices across 18 states. At 30 June 2026 the company had 706 permanent and 154 contractual employees, and Polar a further 459 permanent employees. It was incorporated on 5 November 1997 as Tenty Marketing Company Private Limited and absorbed Dolswap Business Private Limited by an NCLT-sanctioned amalgamation in FY24.
Two businesses on one set of books. The legacy one moulds plastic to customer specification and sells it business-to-business: in FY26, 35.67% of revenue from operations came from manufacturing for OEMs, and RPP products and writing instruments together grew 10.57% to ₹303.88 Cr of segment revenue. The newer one sells branded fans and appliances through distributors and dealers, and most of it is bought in rather than made - Polar's products are substantially sourced from third-party manufacturers and booked as traded goods, so trading rose from 20.50% of revenue in FY24 to 24.90% in FY25 and 58.25% in FY26. Revenue from operations went from ₹362.24 Cr in FY24 to ₹415.47 Cr in FY25 and ₹822.25 Cr in FY26, a 97.91% jump the DRHP attributes primarily to consolidating Polar for the first full year. The group earned an EBITDA margin of 9.66% in FY26 against 7.60% in FY25 and 8.73% in FY24, but the fan business is financed with borrowed money: gross debt was ₹30.12 Cr at FY24, ₹174.46 Cr at FY25 and ₹260.32 Cr at FY26, finance costs were ₹60.23 Cr in FY26, and unsecured loans from related parties reached ₹108.66 Cr, raised to fund Polar's working capital and pay its trade creditors. Of FY26 profit after tax of ₹22.65 Cr, ₹14.87 Cr was attributable to owners and ₹7.78 Cr to Polar's minority shareholders for the part of the year before Tenty raised its stake.
What makes it hard to copy
Tenure and integration rather than technology. The company points to 29 years in plastic moulding, in-house tool design, injection moulding, motor winding and assembly under one roof, top-ten customer relationships of 10 to 16 years in several cases, and repeat customers supplying 91.29% of FY26 revenue from operations. The Polar acquisition adds a consumer brand and a dealer and distributor channel that the moulding business never had.

What this means for one application
Three calculations, each stating the assumption it rests on.
What one application costs
Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.
The lot size and price band are not fixed yet, so there is nothing to calculate.
Odds of getting an allotment
When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.
Retail subscription figures are not available yet, so there is nothing to estimate from.
What the grey market implies
Arithmetic on an unofficial quote. The grey market has no clearing house and no obligation to settle — this is sentiment made numeric, not a forecast.
No grey-market quote has been recorded for this issue.
Our read
The case for and against
Grounded only in figures disclosed in the prospectus. This is analysis, not a recommendation.
What works
- The fan business brought scale at once: electric fans and household electrical appliances generated ₹518.37 Cr of revenue in FY26 against ₹140.63 Cr in FY25, and segment results rose to ₹102.23 Cr from ₹14.97 Cr.
- The original business is still growing on its own. RPP products and writing instruments together grew 10.57% to ₹303.88 Cr of segment revenue in FY26, with segment results up 10.25% to ₹71.16 Cr.
- Customers come back: repeat customers supplied 95.57% of revenue from operations in FY24, 95.44% in FY25 and 91.29% in FY26, and the relationship with Linc Limited, the largest customer, runs to over 16 years.
- Concentration has fallen sharply as Polar's sales were added. The top ten customers were 80.61% of revenue in FY25 and 46.87% in FY26, and Linc's share went from 28.55% to 15.08%.
- Operating margin widened with the mix change - an EBITDA margin of 9.66% in FY26 against 7.60% in FY25 and 8.73% in FY24.
- An established footprint: eight manufacturing facilities in West Bengal and Assam, 21 warehouses and 10 branch offices across 18 states, and customers in 25 states and 4 union territories in FY26.
- Part of the money goes to deleveraging: ₹36.37 Cr of the fresh issue repays the company's own borrowings and ₹22.58 Cr is put into Polar to repay its borrowings, against group gross debt of ₹260.32 Cr at 31 March 2026.
What to weigh against it
- FY26 profit leans on non-operating items. Profit before tax was ₹25.17 Cr, and other income of ₹25.47 Cr included a ₹15.52 Cr gain on fair valuation of financial liabilities, recognised in Polar on initial recognition of unsecured loans at fair value, plus ₹2.46 Cr of liabilities written back and a ₹1.78 Cr reversal of expected credit loss allowances.
- Debt and its cost have climbed with the acquisition. Gross debt rose from ₹30.12 Cr at FY24 to ₹174.46 Cr at FY25 and ₹260.32 Cr at FY26, finance costs went from ₹13.85 Cr in FY25 to ₹60.23 Cr in FY26, and unsecured loans from related parties grew from ₹29.94 Cr to ₹108.66 Cr in the year.
- Operating cash flow turned negative in FY26, at minus ₹24.08 Cr after ₹73.03 Cr in FY25 and ₹48.23 Cr in FY24, as trade payables were cut from ₹447.72 Cr to ₹250.00 Cr to settle Polar's creditors.
- Most revenue is now resold, not made. Trading was 58.25% of revenue from operations in FY26 against 24.90% in FY25, and Polar's own fan plant ran at 20.76% utilisation in FY26 against 77.98% in FY25 and 98.06% in FY24.
- 26% of Polar's shares - 54,24,772 of them - are pledged to Wonder Electricals Limited, a fan supplier, as security for a credit line of up to ₹115 Cr. The DRHP records that the company has in the past exceeded the 90-day payment period, though no rectification notice has been issued; if the pledge were invoked, Wonder would share in the net proceeds put into Polar.
- The balance sheet is mostly a brand. Polar's trademarks are carried at ₹287.39 Cr on the revaluation model with an infinite useful life and no impairment, against restated net tangible assets of ₹50.05 Cr at 31 March 2026, and the DRHP discloses a registered charge over the trademark, created in 2012, in favour of Ashok Goyal and Giriraj Ratan Kothari as nominees of the EM Group.
- The company does not own its own name. The TENTY word and logo marks belong to promoter Kanishk Goyal, who licenses them for ten years from 1 January 2024 at a royalty of 3% of turnover from licensed products.
- Fans are seasonal, and Polar sells largely through distributors and dealers; its contingent liabilities at 31 March 2026 included ₹58.50 Cr of trade receivables discounted under channel financing, on which it carries recourse if dealers default.
- Linc Limited still supplied 15.08% of FY26 revenue from operations under a supply agreement of 5 December 2024 that assures no minimum order quantities.
- The company's previous statutory auditor, S Jaykishan, resigned on 9 March 2026 citing non-consensus on audit fees; V. Singhi & Associates was appointed on 31 March 2026 to fill the casual vacancy and signed the restated accounts.
Easy to miss in the prospectus
- Net worth here is the DRHP's own 'Restated Net-worth' from its eligibility table - ₹93.61 Cr at FY24, ₹121.33 Cr at FY25 and ₹269.51 Cr at FY26 - which excludes non-controlling interests and reserves created out of revaluation of assets. Total equity including non-controlling interests was larger: ₹319.12 Cr at FY25, of which ₹131.91 Cr was non-controlling interest, and ₹347.55 Cr at FY26, of which ₹1.91 Cr was.
- Why the minority was so large, and why it vanished. Tenty first controlled Polar on 31 March 2025 with 51.43%, part of it received when promoter Ranks Fiscals settled a loan of ₹51,24,52,500 from the company by transferring 51,24,525 Polar shares. On 30 March 2026 Tenty issued 66,36,125 of its own shares at ₹200 each, ₹13,272.25 lakh in all, to acquire 1,32,72,245 Polar shares by share swap from thirteen holders led by Ranks Fiscals (38,92,145 Tenty shares) and Kanishk Goyal (10,64,038). Of FY26 profit after tax of ₹2,264.83 lakh, ₹777.61 lakh was attributed to Polar's minority for the period before the increase.
- Return on net worth and EPS are held back. The DRHP prints FY26 RoNW of 6.68% and defines it as net profit after tax divided by average restated net worth, yet neither total profit of ₹2,264.83 lakh nor owners' profit of ₹1,487.22 lakh over the average of its printed net worth of ₹26,951.04 lakh and ₹12,133.20 lakh gives 6.68%. It prints FY26 basic and diluted EPS of ₹18.14 and defines EPS as profit attributable to owners over weighted average shares, but its own EPS note arrives at ₹18.14 by dividing the group's total profit of ₹2,264.83 lakh, non-controlling share included, by 1,24,83,992 weighted shares rather than the ₹1,487.22 lakh attributable to owners. Neither figure is published here until the issuer's basis is confirmed.
- Profit in the financials table is profit attributable to owners - ₹8.75 Cr in FY24, ₹6.80 Cr in FY25 and ₹14.87 Cr in FY26 - to match a net worth that excludes the minority. Total profit after tax was the same in FY24 and FY25 and ₹22.65 Cr in FY26. The DRHP's PAT margin of 2.75% for FY26 is struck on that total profit, so it is not used beside owners' profit here.
- The debt to equity ratio stored here is the DRHP's disclosed 0.75 for FY26 (0.55 for FY25, 0.31 for FY24), which divides borrowings by total equity including non-controlling interests; against the record's net worth, which excludes them, gross borrowings of ₹260.32 Cr are about 0.97 times. The DRHP's ROCE of 19.46% divides EBIT by capital employed on tangible net worth, a figure the DRHP does not print and this record could not reproduce from the restated balance sheet, so it is not stored.
- Comparisons across the three years are not like-for-like. The DRHP states that FY25 and FY24 reflect Tenty's own operations on a standalone basis, with Polar's assets and liabilities brought in only on the balance sheet at 31 March 2025; FY26 is the first year with Polar's results. The 97.91% revenue growth is primarily that consolidation.
- Net asset value per share was ₹213.45 at FY24, ₹97.47 at FY25 and ₹141.23 at FY26. The fall and rise are share count, not value: 18,38,000 shares were issued to Dolswap's shareholders on the amalgamation on 30 May 2024, 62,23,815 bonus shares on 24 September 2024 and 66,36,125 swap shares on 30 March 2026, taking the count from 43,85,815 to 1,24,47,630 and then 1,90,83,755.
- The fresh issue is fixed at up to 73,36,641 shares rather than a rupee amount, and a pre-IPO placement of up to ₹5,000 lakh may be made before the red herring prospectus, reducing the fresh issue. The four quantified objects add up to ₹220.36 Cr, of which ₹183.99 Cr is to be put into Polar rather than spent by Tenty itself.
- The promoters hold 75.59% of the pre-offer capital, 1,44,27,429 shares. The two promoter selling shareholders' weighted average cost of acquisition is ₹160.54 a share for Ranks Fiscals and ₹125.56 for Kanishk Goyal, and the most recent primary issue was the swap at ₹200 a share.
- Every industry figure in the DRHP - writing instruments, rigid plastic packaging, electric fans - comes from a CARE Analytics and Advisory report that the company commissioned and paid for exclusively for this offer. The DRHP finds no listed company comparable across its businesses and so prints no peer comparison.
