The question this issue poses
The business carrying the name in this ₹420 Cr issue - Snapdeal - is the one whose segment Adjusted EBITDA has worsened in each of the last three years, while the only segment earning anything, Unicommerce, is 26.13% owned, separately listed and the reason ₹158.27 Cr of the group's ₹260.35 Cr of total equity belongs to minorities, so the question put at ₹32 was what share of which business a buyer was actually getting.
IPOVista score
Every pillar opens to show the raw metric, the curve it was mapped through, the sub-score and its weight. Disagree with the weighting if you like — the arithmetic is all here.
IPOVista score
Scaling fast, not yet earning
67% of the scoring model was backed by disclosed data for AceVector, giving medium confidence. Weights for anything missing were redistributed rather than scored as zero.
Below the line: market sentiment. Capped at 8 of 100 points so a hot grey market can tilt a score but never carry one.

The company
Founded 2007 · Gurugram, Haryana · 332 employees
AceVector is the holding company that owns Snapdeal. It describes itself as an asset-light digital commerce ecosystem running three businesses: Snapdeal, a value-focused lifestyle marketplace selling fashion, home and general merchandise and beauty products through third-party sellers on a zero-inventory model; Unicommerce, the listed subsidiary whose Uniware, Shipway and Convertway platforms sell e-commerce enablement software to brands, sellers and logistics firms; and Stellaro Brands, which owns and operates the women's ethnic wear label Rangita through online channels and 19 single-brand omnichannel stores, 17 of which were trading at 31 March 2026. In FY26 the marketplace supplied 57.54% of revenue from operations, the SaaS business 40.04% and consumer brands 2.51%. Snapdeal served 18,972 pin-codes, delivered 25.98 million units to 12.16 million annual transacting customers and recorded net merchandise value of ₹1,093.11 Cr; 83.75% of delivered units were priced below ₹599 and 82.22% went to non-metro cities. Unicommerce had 8,261 clients across its three platforms and an annual transaction run-rate of 1,155.79 million order items. The company was incorporated on 12 September 2007 as Jasper Infotech Private Limited, became Snapdeal Private Limited in 2019 and AceVector Limited in January 2023. It employed 332 full-time staff on a standalone basis at 31 March 2026.
A holding company whose earning power and whose name sit in different places. Group revenue from operations grew from ₹379.76 Cr in FY24 to ₹395.02 Cr in FY25 and ₹510.38 Cr in FY26 - disclosed growth of 4.02% and then 29.20% - and the group has lost money in each of the three years, with the loss attributable to the parent running at ₹57.87 Cr, ₹139.27 Cr and ₹60.78 Cr. The marketplace takes a fee on goods it never owns, which is why inventories were only ₹2.70 Cr at 31 March 2026, and it is the business that loses money: Adjusted EBITDA for the marketplace segment worsened from minus ₹36.72 Cr in FY24 to minus ₹48.01 Cr in FY25 and minus ₹50.25 Cr in FY26, and its contribution margin fell from ₹145.31 Cr to ₹111.03 Cr to ₹109.47 Cr while net merchandise value grew 72.60% over the same two years - the RHP attributes this to deliberately cutting seller margins and lowering the cost of doing business on the platform, and states plainly that growth has not matched the growth of the e-commerce industry. The business that earns is Unicommerce, where segment Adjusted EBITDA rose from ₹16.20 Cr to ₹25.35 Cr to ₹41.28 Cr on revenue of ₹103.58 Cr, ₹134.79 Cr and ₹204.34 Cr - but AceVector holds 26.13% of it and consolidates it line by line on the strength of board-appointment rights, so ₹158.27 Cr of the group's ₹260.35 Cr of total equity at 31 March 2026 belonged to non-controlling interests. Borrowings were nil at the balance sheet date and operating cash outflow had narrowed to ₹1.80 Cr from ₹54.85 Cr two years earlier.
What makes it hard to copy
Three platforms that feed each other rather than any one defensible asset: Unicommerce's Uniware and Shipway are used by Snapdeal sellers to run orders, inventory and shipping, Shipway draws volume from Snapdeal's shipments, and Stellaro sources from the same small-enterprise base that sells on the marketplace, while legal, finance, technology, human resources and facilities are run centrally for all three. On the commissioned 1Lattice study, Snapdeal is among the top two pure-play value marketplaces in India by revenue and Uniware is the largest e-commerce enablement SaaS platform in the transaction-processing layer; Unicommerce carried 353 integrations across its three platforms at 31 March 2026.

The numbers
Revenue has compounded at 15.9% a year across the 3 reported financial years.
Figures in ₹ crore, as reported in the prospectus. Interim quarters are not annualised.
Profit and operating margin as a percentage of revenue
At each period end, in ₹ crore. Gearing below each period is borrowings over net worth, from these same figures.
Profit after tax and net cash from operating activities, in ₹ crore. The figure under each period is cash generated per ₹100 of profit.
Above 100% the business collects more cash than it books as profit. Persistently below it, growth is being funded out of working capital.
The price
Ratios as disclosed in the prospectus, calculated at the upper end of the price band. P/E is always shown on post-issue earnings so issues stay comparable with each other.

P/E against operating margin
The peer table does not carry both a P/E and an operating margin for enough companies to plot.
The terms
68% of the money raised is fresh capital that goes to the company; the rest goes to shareholders selling down.

100% of the quantified proceeds is earmarked for growth; the rest repairs the balance sheet or is unallocated.
Demand
Subscription is hard exchange data. Grey-market premium is not — it is an unofficial quote, shown because readers want it and labelled because it deserves the label.

A category subscribed above 1× is oversubscribed; allotment in that category then runs as a lottery or on a proportionate basis.
Anchor investors commit one working day before the issue opens and are locked in for 30 and 90 days. Who turns up here is the first real signal of institutional appetite.

Work it out
Three calculations, each stating the assumption it rests on.
Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.
One lot is 468 shares at ₹14,976. Retail applications are capped at ₹2,00,000, which allows up to 13 lots here — apply for more and you are bidding as a non-institutional investor instead.
When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.
~21%
chance of one lot, per application
This is an estimate of a lottery, not a prediction. Actual odds depend on the final basis of allotment, how many applications were at the minimum lot, and rejections for technical reasons. Applying from multiple distinct PANs is the only legitimate way to hold more tickets in that lottery.
This issue has listed, so there is a real number instead of a prediction. The grey-market premium is shown beside it for comparison.
