The question this issue poses
This is the one entry in the pipeline where the company does not want to list. Tata Sons has filed no draft prospectus, named no banker and disclosed no issue size; what exists is an RBI rule that says an Upper Layer NBFC must list, a majority shareholder holding 66.00% who has said he will not allow it, and a deregistration application that would make the whole question moot.
IPOVista score
Every pillar opens to show the raw metric, the curve it was mapped through, the sub-score and its weight. Disagree with the weighting if you like — the arithmetic is all here.
IPOVista score
A trade-off in both directions
4% of the scoring model was backed by disclosed data for Tata Sons, giving low confidence. Weights for anything missing were redistributed rather than scored as zero.
Below the line: market sentiment. Capped at 8 of 100 points so a hot grey market can tilt a score but never carry one.

The company
Founded 1917 · Mumbai, Maharashtra · part of Tata Trusts
Tata Sons is the principal holding company of the Tata group. It does not manufacture or sell anything itself; it owns the controlling stakes in the group's operating companies and collects dividends from them. The Reserve Bank of India registers it as a Core Investment Company — an NBFC that holds at least 90% of its net assets as investments in group companies — and in September 2022 placed it in the NBFC Upper Layer, the tier whose members must list on a stock exchange within three years. As of August 2026 Tata Sons was the only unlisted company among the 17 entities on that list. Its chairman and managing director is Natarajan Chandrasekaran, and it is governed from Bombay House in Mumbai. Unlike the other entries in this pipeline, Tata Sons has not announced an IPO; it has applied to deregister as a Core Investment Company, which would remove the listing obligation.
Income is almost entirely dividends from group companies, which is why the margin profile looks nothing like an operating business: standalone revenue of ₹38,835 Cr in FY25 converted to ₹26,232 Cr of profit, a 67.5% net margin, and FY26 profit rose to ₹31,961 Cr. Standalone assets were ₹1,75,000 Cr at March 2025 and are reported to have exceeded ₹2 lakh Cr by March 2026 — these are investments in subsidiaries and associates, not operating assets. The company has spent recent years repaying debt, including ₹21,813 Cr in FY24, specifically to demonstrate that it does not rely on public funds and therefore need not remain a registered Core Investment Company. Any value placed on Tata Sons is derived from the quoted stakes it holds: the market value of its listed investments was reported at ₹11.68 lakh Cr on 31 March 2026, with CRISIL estimating about ₹13.2 lakh Cr as of 20 April 2026. Ownership is concentrated: Tata Trusts hold 66.00% (Sir Dorabji Tata Trust 27.98%, Sir Ratan Tata Trust 23.56%, allied trusts 14.46%), the Shapoorji Pallonji group 18.38%, listed Tata group companies 12.66% and Tata family members 1.85%.
What makes it hard to copy
Tata Sons owns the 'Tata' trademark outright and every group company licenses it back under the Brand Equity and Business Promotion Agreement, which paid Rs 2,285.52 Cr of brand subscription income in FY26 — so the group's best-known asset sits on this balance sheet rather than being a shared convention.

The numbers
Figures as reported in the prospectus. Interim periods are shown but not annualised.
Figures in ₹ crore, as reported in the prospectus. Interim quarters are not annualised.
The price
Ratios as disclosed in the prospectus, calculated at the upper end of the price band. P/E is always shown on post-issue earnings so issues stay comparable with each other.
Valuation ratios have not been disclosed for this issue yet. They are normally published with the red herring prospectus, once the price band is fixed.
The terms
Demand
Subscription is hard exchange data. Grey-market premium is not — it is an unofficial quote, shown because readers want it and labelled because it deserves the label.
Cumulative bid multiples
Bidding has not opened yet, so there is no subscription data to show.
Unofficial over-the-counter sentiment
No grey-market quotes have been recorded for this issue.
Work it out
Three calculations, each stating the assumption it rests on.
Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.
The lot size and price band are not fixed yet, so there is nothing to calculate.
When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.
Retail subscription figures are not available yet, so there is nothing to estimate from.
Arithmetic on an unofficial quote. The grey market has no clearing house and no obligation to settle — this is sentiment made numeric, not a forecast.
No grey-market quote has been recorded for this issue.

The paperwork
How these figures were checked
Built from 7 independently published accounts of this issue, agreeing with each other. No copy of the filing itself is linked here, so nothing on this page has been reconciled against the primary document — treat every figure as reported rather than verified.
The prospectus is the authoritative document. Check anything that matters against it before you act.
