The question this issue poses
A Mumbai digital agency whose revenue tripled in two years largely because it bought 76.79% of another agency in April 2025 - the question is what the ₹120.22 Cr capitalisation at the ₹54 offer price is buying, when ₹20.10 Cr of the ₹57.83 Cr balance sheet is goodwill from that purchase and FY26 is the only year the accounts consolidate it.

IPOVista score
Broadly well-balanced
88% of the scoring model was backed by disclosed data for Liqvd Digital, giving high confidence. Weights for anything missing were redistributed rather than scored as zero.
Below the line: market sentiment. Capped at 8 of 100 points so a hot grey market can tilt a score but never carry one.

Priced above its peer group
The upper band asks a 53.0% premium to the median P/E of the listed peers named in the prospectus.
SME platform listing
SME issues trade in larger lot sizes with thinner volumes than mainboard listings, which makes exiting a position harder.

The company
Founded 2013 · Mumbai, Maharashtra · 176 employees · part of Concept Communication Limited
Liqvd Digital India is a Mumbai agency that plans and buys digital advertising for brands and runs their social, content and search work. The RHP groups the offering into four verticals: Media (performance media planning and buying across digital and offline platforms, billed on media commission), Retainer (monthly recurring mandates covering social media management, creative services, content creation, online reputation and community management, website maintenance, SEO and e-commerce management), Project (one-off campaign work) and Production (execution and delivery of creative assets). In April 2025 the company acquired a majority stake in AdLift Marketing Private Limited, an SEO and performance-marketing agency that owns AdLift Inc in the United States; it held 76.79% of AdLift Marketing at 31 March 2026 and intends to buy the remaining 23.21% out of the issue proceeds. AdLift brings the Content Lift syndication platform, which the RHP says draws on a network of 20,000 publishers, and Tesseract, a model for tracking brand visibility inside AI assistants such as ChatGPT, Perplexity, Google AI and Gemini. The group works from offices in Mumbai and Gurgaon plus a compact in-house green-screen studio in Mumbai, and employed 53 permanent staff in the parent, 119 in AdLift Marketing and 4 in AdLift Inc as at 31 July 2026.
Revenue is earned as media commission on client spend, as fixed monthly or quarterly retainer fees, and as project and production fees. The FY26 mix is 55.32% Retainer, 36.86% Media, 5.74% Project and 2.08% Production, but that mix is not a trend: the Retainer share jumped because AdLift's search-engine-optimisation revenue is classified there and FY26 is the first year AdLift is consolidated. Revenue from operations went from ₹18.05 Cr in FY24 to ₹24.87 Cr in FY25 to ₹60.24 Cr in FY26, with EBITDA margins of 21.11%, 15.81% and 18.69% over the same three years - and the RHP states plainly that FY26 is consolidated while FY25 and FY24 are standalone, so the years are not directly comparable. Roughly 60% of FY26 revenue from operations is attributable to the consolidation of AdLift. The acquisition reshaped the balance sheet as well as the income statement: goodwill on consolidation of ₹20.10 Cr is now the largest single asset against total assets of ₹57.83 Cr, and ₹14.00 Cr of cash went out of the door for AdLift during FY26. Borrowings are modest at ₹9.79 Cr against net worth of ₹34.19 Cr, almost all of it short-term working-capital debt. The corporate promoter, Concept Communication Limited, holds 44.39% of the pre-offer capital and is simultaneously the company's largest customer, supplying 12.62% of FY26 revenue from operations on a consolidated basis and 44.12% of FY25 revenue on a standalone basis.
What makes it hard to copy
The RHP rests the case on four qualitative factors: a full-service offering running from performance media buying through creative content, influencer marketing and SEO; promoters and management with domain expertise; a client portfolio spread across verticals; and in-house technology with optimised workflows. In practice the differentiating assets arrived with AdLift - the Content Lift syndication platform built on a network of 20,000 publishers, and Tesseract, which tracks brand visibility across AI assistants.

The numbers
Revenue has compounded at 82.7% a year across the 3 reported financial years.
Figures in ₹ crore, as reported in the prospectus. Interim quarters are not annualised.
Profit and operating margin as a percentage of revenue
At each period end, in ₹ crore. Gearing below each period is borrowings over net worth, from these same figures.
Profit after tax and net cash from operating activities, in ₹ crore. The figure under each period is cash generated per ₹100 of profit.
Above 100% the business collects more cash than it books as profit. Persistently below it, growth is being funded out of working capital.
The price
At the upper band this issue asks a 53.0% premium to the median P/E of the listed peers its own prospectus names.

Asking P/E against operating margin. All marks are the same size — market capitalisation is not disclosed for every company here, and sizing only some of them would read as a measurement.
Peer companies are those named in the issuer's own prospectus. A higher position means better margins; further right means a more expensive multiple. Market capitalisation, where disclosed, is in the tooltip and the table.

Work it out
Three calculations, each stating the assumption it rests on.
Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.
One lot is 2000 shares at ₹1,08,000. This issue requires a minimum of 2 lots, so the smallest application is ₹2,16,000. That already exceeds the ₹2,00,000 retail ceiling, so every application here bids into the non-institutional category — which is normal on the SME board. Since April 2022 that category is also allotted by draw of lots for the minimum application when it is oversubscribed, so the odds beside this apply much the same way.
When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.
~70%
chance of one lot, per application
This is an estimate of a lottery, not a prediction. Actual odds depend on the final basis of allotment, how many applications were at the minimum lot, and rejections for technical reasons. Applying from multiple distinct PANs is the only legitimate way to hold more tickets in that lottery.
This issue has listed, so there is a real number instead of a prediction. The grey-market premium is shown beside it for comparison.
