The question this issue poses
In one sentence
Across FY24 to FY26 Baanganga sold 18.42% more jewellery by weight - 3,308.14 kgs to 3,917.36 kgs - and booked 168.91% more revenue, from Rs 1,348.52 Cr to Rs 3,626.29 Cr, so revenue per kilogram more than doubled while the kilograms barely moved. The question a reader has to settle is how much of a three-year profit record that ends at Rs 111.78 Cr belongs to the company and how much belongs to the price of gold, because Rs 405 Cr of the Rs 540 Cr fresh issue is working capital whose size is itself set by that price.

IPOVista score
Broadly well-balanced
64% of the scoring model was backed by disclosed data for Baanganga Gold, giving medium confidence. Weights for anything missing were redistributed rather than scored as zero.
How this score is builtBelow the line: market sentiment. Capped at 8 of 100 points so a hot grey market can tilt a score but never carry one.

The company
What the business actually does
Founded 1997 · Mumbai, Maharashtra · 743 employees
Baanganga Gold & Diamond makes jewellery for other people's shop windows. It is an integrated manufacturer of plain gold, studded gold and diamond jewellery - necklaces, bangles, rings, earrings, pendants, mangalsutra, bracelets and chains, mostly in 18-karat and 22-karat gold - and it sells business-to-business, to corporate retail chains, wholesalers and distributors rather than to the public. The draft names Joyalukkas India Limited, Novel Jewels Limited of the Aditya Birla group, Malabar Gold and Diamonds Limited, Kalyan Jewellers India Limited, Bhima Enterprises and P N Gadgil Jewellers Limited among the chains it supplies, and states that more than 50% of revenue from operations came from large corporate retail chains in each of Fiscals 2024, 2025 and 2026. At 31 July 2026 it had 604 clients - 579 domestic across 18 states and four union territories, and 25 international, with exports going to Australia, the UAE, Malaysia, Qatar, Singapore, the USA and Oman. Three manufacturing units, all in Mumbai and all leased, cover 23,994 sq ft between them: Unit I at Marol, MIDC, Andheri East, run by the company since 2018; Unit II on the floor above, run by wholly owned subsidiary MNM Jewels Private Limited from July 2025; and Unit III at Mahal Industrial Estate, Andheri East, operating from April 2025 and transferred to wholly owned subsidiary Baanganga Diamond Private Limited on 1 April 2026. Aggregate installed capacity was 7,500 kgs a year at 31 March 2026 against actual production of 3,629.42 kgs, a utilisation of 48.39%. The design bank ran to over 500,000 designs at 31 July 2026, maintained by 91 in-house designers, and 402 of the company's 743 employees are Karigars - the artisans who actually make the pieces. The business traces to a sole proprietorship in Mumbai that became the partnership firm Baanganga Jewellers in 1997; the company itself was incorporated on 9 May 2022 and converted to a public limited company on 15 January 2026.
A gold converter paid on volume and speed rather than on brand. Revenue from operations went from Rs 1,348.52 Cr in FY24 to Rs 2,026.95 Cr in FY25 to Rs 3,626.29 Cr in FY26 - a disclosed CAGR of 63.98% - but the kilograms barely moved: 3,308.14 kgs sold in FY24, 3,595.79 kgs in FY25 and 3,917.36 kgs in FY26. Revenue per kilogram therefore went from about Rs 4.08 million to about Rs 9.26 million over two years: the growth is in what a kilogram fetches, not in how many kilograms leave the building. The margin is thin by construction and is improving: a disclosed gross margin of 5.27% in FY24, 4.73% in FY25 and 5.77% in FY26, over an EBITDA margin of 3.44% in FY24, 3.09% in FY25 and 4.57% in FY26. The overhead that margin carries is small - employee benefits expense was Rs 6.98 Cr against Rs 3,626.29 Cr of revenue from operations in the year to March 2026. Gold price risk is managed operationally rather than financially - clients supply gold in advance against orders, settle in bullion, or fix prices with the company at order confirmation, with exchange forwards used alongside. That advance gold mix, the share of production made from customer-supplied gold, has been falling: 29.88% in FY24, 25.68% in FY25, 23.17% in FY26. Working capital is the constraint and also the differentiator: the draft discloses working capital days of 48, 46 then 33, and operating cash flow was positive in all three years at Rs 23.11 Cr, Rs 22.06 Cr and Rs 41.59 Cr, which the commissioned CareEdge report contrasts with four listed peers who were cash-negative in most of the same years. Rs 405 Cr of the Rs 540 Cr fresh issue is earmarked for incremental working capital across Fiscals 2027, 2028 and 2029.
What makes it hard to copy
Design depth and the ability to deliver it at scale, in a trade where the retailer owns the customer. The draft rests the case on a bank of more than 500,000 designs at 31 July 2026, more than 100 new designs added every month, 91 in-house designers and 402 Karigars under its own roof across three units, and the CareEdge report's estimate that approximately 70-75% of revenue from operations comes from clients of at least five years' standing. The designs themselves are not registered under the Designs Act, 2000 or any other intellectual property regime, which the draft states plainly as a risk.

What this means for one application
Three calculations, each stating the assumption it rests on.
What one application costs
Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.
The lot size and price band are not fixed yet, so there is nothing to calculate.
Odds of getting an allotment
When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.
Retail subscription figures are not available yet, so there is nothing to estimate from.
What the grey market implies
Arithmetic on an unofficial quote. The grey market has no clearing house and no obligation to settle — this is sentiment made numeric, not a forecast.
No grey-market quote has been recorded for this issue.
Our read
The case for and against
Grounded only in figures disclosed in the prospectus. This is analysis, not a recommendation.
What works
- Profit compounded faster than revenue: the draft discloses a two-year CAGR of 63.98% in revenue from operations, 88.97% in EBITDA and 113.23% in profit after tax, taking PAT from Rs 24.58 Cr in FY24 to Rs 35.55 Cr in FY25 to Rs 111.78 Cr in FY26.
- Margin widened rather than bought growth. Gross margin went from 5.27% in FY24 to 4.73% in FY25 and 5.77% in FY26, and the disclosed EBITDA margin of 4.57% in FY26 is the best of the three years against 3.09% in FY25.
- Operating cash flow was positive in each of the three reported years - Rs 23.11 Cr, Rs 22.06 Cr and Rs 41.59 Cr - which is not the usual pattern for this trade. The commissioned CareEdge report's own comparison puts three of the four listed peers cash-negative in FY26: minus Rs 44.92 Cr at Sky Gold & Diamonds, minus Rs 281.72 Cr at Shringar House of Mangalsutra and minus Rs 260.63 Cr at Shanti Gold International, with Shankesh Jewellers just positive at Rs 0.33 Cr.
- The working capital cycle tightened as the business trebled: disclosed working capital days of 48 in FY24, 46 in FY25 and 33 in FY26, against FY26 net working capital days the same CareEdge table gives as 76 at Sky Gold, 85 at Shringar House of Mangalsutra, 96 at Shanti Gold and 67 at Shankesh Jewellers. Inventory came down in absolute terms in FY26, from Rs 394.48 Cr to Rs 365.99 Cr, on revenue 78.90% higher.
- Client concentration is easing rather than tightening. The top ten clients supplied 71.51% of revenue from operations in FY24, 68.12% in FY25 and 59.92% in FY26; the top five fell from 63.75% to 50.58% over the same period. The client count went from 256 to 379 to 461 across those years and stood at 604 at 31 July 2026.
- Leverage fell while the business grew. The disclosed net debt-to-equity ratio moved from 4.81 times in FY24 to 2.63 times in FY25 to 1.19 times in FY26, and total outstanding borrowings were almost flat across the three years - Rs 198.84 Cr, Rs 205.10 Cr and Rs 214.14 Cr - on revenue that nearly trebled.
- The customers are the organised chains that are actually opening stores. The draft names Joyalukkas, Malabar, Kalyan, Novel Jewels of the Aditya Birla group, Bhima and P N Gadgil among its clients, states that more than 50% of revenue came from large corporate retail chains in each of the three years, and cites the CareEdge estimate that approximately 70-75% of revenue comes from relationships of at least five years.
- Capacity is already in the ground ahead of the raise, and underused: 7,500 kgs of annual installed capacity at 31 March 2026 against 3,629.42 kgs produced, a utilisation of 48.39%, with Unit II and Unit III both having opened during Fiscal 2026.
What to weigh against it
- Volume is almost flat. Kilograms sold rose 8.70% in FY25 and 8.94% in FY26, against disclosed revenue growth of 50.31% and 78.90%. Revenue per kilogram went from about Rs 4.08 million in FY24 to about Rs 9.26 million in FY26, so the great majority of the growth is the gold price passing through, and the draft's own first risk factor is dependence on gold.
- This is a one-product company. Gold jewellery was 99.67% of revenue from operations in FY26, 99.34% in FY25 and 99.83% in FY24 on the restated consolidated basis; diamond jewellery contributed Rs 11.92 Cr in FY26.
- Supply is concentrated and unsecured by contract. The top three suppliers of raw material accounted for 57.25% of total raw material cost in FY26, 76.00% in FY25 and 48.85% in FY24, and the top ten for 80.76%, 91.34% and 80.10%. The draft states there are no long-term supply agreements or exclusivity arrangements with any of them.
- Demand is not contracted either. The draft states the company generally does not enter into long-term contracts or exclusivity arrangements with clients, and Client 1 alone supplied 24.70% of revenue from operations in FY26, 26.33% in FY25 and 27.20% in FY24. Four of the top ten are named in Fiscals 2026 and 2024 and five in Fiscal 2025; the rest withheld consent.
- Borrowings grew sharply after the balance-sheet date. The auditor-certified summary in Financial Indebtedness puts total borrowings of the company and its subsidiaries at Rs 588.25 Cr outstanding on 31 July 2026 - Rs 164.37 Cr of secured working capital facilities, Rs 2.00 Cr of non-fund-based bank guarantees and letters of credit, and Rs 421.88 Cr unsecured and fund-based - against the Rs 214.14 Cr of borrowings the restated balance sheet carries at 31 March 2026. The two are four months and one line item apart, since the March figure excludes non-fund-based limits, but the direction is not in doubt.
- Rs 88.68 Cr of borrowings were unsecured and repayable on demand at 31 March 2026, and Rs 83.96 Cr of borrowings were secured by personal guarantees from the three promoters. The financial-indebtedness security clause also names promoter-group members Kamladevi Ganna and Priyanka Jinesh Ganna, but the draft does not attach that figure to them.
- Receivables are growing faster than the book. Trade receivables went from Rs 134.88 Cr at 31 March 2025 to Rs 282.78 Cr at 31 March 2026, and the disclosed receivable days rose from 18 to 21. Payable days moved the other way, from 8 in FY24 to 27 and then 28, so part of the cycle improvement is supplier credit.
- The hedge against gold is partly the customer, and the customer is using it less. Advance gold mix - production made from gold the client supplies in advance - fell from 29.88% in FY24 to 25.68% in FY25 to 23.17% in FY26.
- Everything is leased, and the main sites are leased from the promoter side. The registered and corporate office including the Experience Centre, Unit I and Unit II are all taken on leave and licence from Baanganga Diamonds, a promoter group partnership firm in which two of the promoters are partners, on one- and two-year tenures dated August 2026.
- All three manufacturing units, both branch-office catchments' supply base and the registered office sit in Mumbai, which the draft carries as its own geographic concentration risk factor.
- The designs are unprotected. The company does not register its jewellery designs under the Designs Act, 2000 or any other regime. Twelve trademark applications filed by the company and its material subsidiary, including the corporate logo, were pending at the date of the draft: eight objected, three under examination and one accepted and advertised.
- Karigar attrition is rising as the workforce grows: 17 exits and a 12.14% rate in FY24, 40 and 19.05% in FY25, 67 and 22.41% in FY26, against 402 Karigars at 31 July 2026.
- Governance housekeeping has been imperfect. The company appointed its first company secretary 49 days after the statutory deadline and has filed a voluntary adjudication application under Section 454 before the Registrar of Companies, which was pending at the date of the draft; it has also filed clarification letters over errors in its board reports for 2023-24 and 2024-25, a PAS-6 share capital reconciliation, a DIR-12 appointment date and an MGT-7 director designation.
- None of the directors has prior experience as a director of a listed company in India, which the draft carries as its own risk factor, and the three independent directors and the chief financial officer all joined in 2026.
Easy to miss in the prospectus
- Two sets of financials run side by side throughout this draft and they are not interchangeable. The Restated Consolidated Financial Information covers the company and MNM Jewels Private Limited; every figure in this record is taken from it. The Unaudited Pro Forma Combined Condensed Financial Information additionally folds in the diamond business of the Baanganga Diamonds partnership firm as though it had been acquired on 1 April 2023, and reports FY26 revenue of Rs 3,927.87 Cr, PAT of Rs 115.53 Cr, EPS of Rs 19.25, RoNW of 72.75% and NAV of Rs 26.46. The draft's own thirty-third risk factor calls it unaudited, illustrative and hypothetical.
- The diamond half of the name is almost entirely a pro forma event. On the restated consolidated basis diamond jewellery was 0.33% of FY26 revenue from operations; on the pro forma basis it is 7.06%. The acquisition that creates the difference happened on 1 April 2026, the first day of Fiscal 2027, so no reported year yet contains it.
- MNM Jewels was brought in under common control. The company acquired its controlling interest on 18 February 2026 through a rights issue, accounted for under Appendix C to Ind AS 103 by the pooling-of-interests method, so FY25 and FY24 have been restated as though the combination had always existed. Comparisons with the subsidiary's own earlier accounts will not line up.
- Return on net worth here is struck on CLOSING net worth, not average, as note 2 to the Basis for Offer Price states: Rs 111.78 Cr of FY26 profit over Rs 187.89 Cr of year-end net worth gives the disclosed 59.49%. The draft separately discloses a return on average equity of 84.39% for the same year, computed on the average of opening and closing total equity, and the two are not alternatives for the same thing.
- Return on capital employed of 49.46% is likewise computed on AVERAGE capital employed - the average of opening and closing total equity, total debt including lease liabilities, and net deferred tax liabilities - with earnings before interest and tax as the numerator.
- The disclosed debt ratio of 1.19 is net debt to total equity: borrowings plus lease liabilities less cash and cash equivalents, over total equity. Gross borrowings over net worth at 31 March 2026 give 1.14 instead. The FY25 and FY24 borrowings in this record are the restated balance sheet's non-current plus current borrowings on the same basis that produces the draft's own stated Rs 214.14 Cr total for FY26.
- The draft's own financial tables run NEWEST FIRST — Fiscal 2026, then 2025, then 2024. Net asset value per share, which rises monotonically, and total equity of Rs 187.89 Cr, Rs 77.03 Cr and Rs 41.48 Cr are the rows that settle the column order. The CareEdge peer tables in Industry Overview run the other way, FY24 then FY25 then FY26, and say so in their headers.
- The restated cash-flow statement classifies the movement in SHORT-TERM BORROWINGS inside operating activities: Rs 93.86 Cr in FY24, Rs 8.10 Cr in FY25 and Rs 9.82 Cr in FY26. The FY24 operating inflow of Rs 23.11 Cr therefore rests on borrowing rather than on trading, and the three-year run of positive operating cash flow should be read with that line in view.
- The product-mix table appears twice and the two copies disagree by Rs 10 lakh. The copy in Our Business prints a Fiscal 2026 total of Rs 3,626.393 Cr; the copy in the first risk factor, the profit and loss statement and the KPI table all give Rs 3,626.293 Cr, which is also what the table's own two components and percentages come to. The smaller figure is the one used here.
- The promoters paid nothing for their stock. The weighted average cost of acquisition is disclosed as NIL for all three, adjusted for the bonus issue and the sub-division. Paid-up capital went from 10,000 shares subscribed at Rs 10 on incorporation to 30,010,000 after a 3,000-for-1 bonus issue on 27 March 2025, then to 60,020,000 when the face value was sub-divided from Rs 10 to Rs 5 on 30 March 2026. Vikas Navratanmal Ganna's entire 30.00% came by gift from the other two promoters on 11 November 2025.
- Only the fresh issue reaches the company. Rs 180 Cr of the Rs 720 Cr offer is a sale by two of the three promoters - up to Rs 120 Cr by Navratanmal Jeetmal Ganna and up to Rs 60 Cr by Jinesh Navratanmal Ganna. All of the figures in the offer are caps, expressed in rupees with the share counts left as placeholders, and a pre-IPO placement of up to Rs 108 Cr may be undertaken before the red herring prospectus is filed, which would reduce the fresh issue by the amount raised.
- The allocation shown is the draft's statutory maximum and minimums under Regulation 32(1) - not more than 50% of the offer to qualified institutional buyers, not less than 15% to non-institutional bidders, of which one-third is reserved for applications between Rs 0.20 million and Rs 1.00 million, and not less than 35% to retail individual bidders.
- The peer set is four companies with an arithmetic average P/E of 21.30 and a range from 11.14 times at Shankesh Jewellers to 45.85 times at Sky Gold & Diamonds, all struck on NSE closing prices of 11 September 2026 and Fiscal 2026 diluted EPS. Three of the four are reported standalone; only Sky Gold is consolidated. Shankesh Jewellers posts a 50.94% return on net worth, the closest of the four to the issuer's own.
- The industry data, the 'fully integrated manufacturer' framing, the approximately 1.9% share of the Indian gold jewellery wholesale manufacturing market in Fiscal 2026, the 70-75% long-standing-client estimate and all peer comparison data in the business section come from a CareEdge report dated 23 September 2026, which the company commissioned and paid for in connection with this offer.
- Fiscal 2024's accounts were audited twice. B. B. Lodha & Co. issued an unmodified report on 26 August 2024; because that firm was not peer reviewed at the date of its report, V J Shah & Co. re-audited the year and issued its own unmodified report. There are no qualifications in any of the three years. The FY25 and FY24 special purpose statements carry an emphasis of matter on their basis of preparation, which the auditor states does not modify its opinion.
- Litigation is small. One tax proceeding against the company for Rs 1.29 Cr, four criminal proceedings brought BY the company aggregating Rs 7.70 Cr, one statutory or regulatory proceeding against the promoters with no amount quantified, and nothing against the directors, subsidiaries or key managerial personnel. Contingent liabilities at 31 March 2026 were Rs 2.04 Cr, which the draft puts at 1.09% of net worth.
- Related-party trade is material and rising. Sales of goods to Ishani Jewels, an entity in which a director or a relative of a director has a substantial interest, went from nil in FY24 to Rs 4.67 Cr in FY25 to Rs 66.99 Cr in FY26, and sales to Baanganga Diamonds from Rs 0.21 Cr to Rs 9.30 Cr. Baanganga Diamonds is also the landlord of the registered office, Unit I and Unit II.
- The company has not declared a dividend on its equity shares in the current fiscal or the last three, and the draft states it may not do so in the foreseeable future.
- The educational qualifications of two directors, Vikas and Jinesh Navratanmal Ganna, could not be verified: the institutions have not responded to requests for certificates, and the draft relies on documents the individuals themselves supplied. The company has also been unable to trace a 2007 partnership addendum and a 2011 supplementary deed from its predecessor firm.
- Insurance cover was 95.28% of property, plant and equipment excluding land, capital work-in-progress and inventories at 31 March 2026 - up sharply from 38.47% in FY25 and 32.97% in FY24, which is where the exposure sat while the business was growing fastest.
- The company accepts returns of a limited portion of unsold jewellery from clients, refurbishing or re-melting what cannot be resold. The draft states the volumes have been minimal to date and carries the practice as its own risk factor.
