A trade-off in both directions

63% of the scoring model was backed by disclosed data for Value 360 Communications, giving medium confidence. Weights for anything missing were redistributed rather than scored as zero.

  • SME platform listing

SME issues trade in larger lot sizes with thinner volumes than mainboard listings, which makes exiting a position harder.

The company

What the business actually does

Founded 2007 · 43A, Okhla Industrial Estate, Phase III, New Delhi 110020, Delhi, India · 242 employees

Value 360 Communications is a New Delhi public relations and digital marketing agency. Its PR vertical sells media relations, investor relations, crisis communication, reputation management and end-to-end campaign management to corporate clients. A subsidiary, Popkorn PR Plus Communication Private Limited, sells brand and social media strategy, content production, influencer marketing, digital performance advertising, and website and app development. The prospectus says the group has worked with more than 1,300 brands over seven years, naming Kia, AB InBev, Experion and CashKaro among them. It employed 242 people at 31 January 2026, 140 of them in public relations, with 74% of staff in Delhi NCR, 17% in Mumbai and 6% in Bengaluru. Kunal Kishore and Gaurav Patra started the business as an unregistered partnership firm in 2007.

Revenue is retainer fees from PR clients plus project fees for campaigns and influencer work; the prospectus calls the model asset-light and reports no inventory. Revenue from operations was Rs 54.71 Cr in the ten months to 31 January 2026, against Rs 54.57 Cr for all of FY25. Cost is almost entirely people: employee benefit expenses were Rs 25.26 Cr, or 45.85% of total revenue, in that ten-month period, versus cost of service of Rs 6.30 Cr (11.44%). The constraint is headcount, since billings scale with staff. Trade receivable days stretched from 120 in FY25 to 164, and finance costs absorbed 5.74% of revenue.

Percentages are of paid-up equity, and the “after” column assumes the offer is fully subscribed, which is how the offer document states it. This record does not disclose a pre- and post-issue share count, so the part of the company actually changing hands is not split out — everyone who is not a promoter is shown together.

Subscription is hard exchange data. Grey-market premium is not — it is an unofficial quote, shown because readers want it and labelled because it deserves the label.

What an allotment is worth now, before costs

Work it out

What this means for one application

Three calculations, each stating the assumption it rests on.

What one application costs

Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.

Lots
2 lots, 2400 shares, ₹2,35,200 blocked
Shares applied for
2,400
At cut-off price
₹98.00
Amount blocked
₹2,35,200

One lot is 1200 shares at ₹1,17,600. This issue requires a minimum of 2 lots, so the smallest application is ₹2,35,200. That is how the SME board is built rather than a quirk of this issue: the minimum application is set above the ₹2,00,000 that caps a retail bid on the mainboard — two lots rather than one. The smallest bid here still sits in the individual investors’ category, the one the subscription figures call retail, and when that category is oversubscribed the minimum application is allotted by draw of lots — so the odds beside this apply directly.

Odds of getting an allotment

When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.

~100%

chance of one lot, per application

Retail subscription
0.77×
Applicants per share available
0.8× the retail quota

This is an estimate of a lottery, not a prediction. Actual odds depend on the final basis of allotment, how many applications were at the minimum lot, and rejections for technical reasons. Applying from multiple distinct PANs is the only legitimate way to hold more tickets in that lottery.

Our read

Easy to misread

Grounded only in figures disclosed in the prospectus. This is analysis, not a recommendation.

Easy to miss in the prospectus

  • The last financial column is a ten-month stub (1 April 2025 to 31 January 2026), not a full year. The prospectus marks its EPS "not annualised". It must not be read as FY26: ten-month revenue of Rs 54.71 Cr already matches the full FY25 year of Rs 54.57 Cr.
  • Net worth rose from Rs 11.36 Cr (FY24) to Rs 25.17 Cr (FY25) against PAT of only Rs 5.79 Cr. The gap is pre-IPO private placements at Rs 54 per share in September and October 2024, not operating earnings.
  • Issued share capital went from Rs 1.00 lakh to Rs 1,164.55 lakhs across FY25 largely because of a 999:1 bonus issue on 1 September 2024. Share counts before and after that date are not directly comparable, though the prospectus EPS series is already bonus-adjusted.

How these figures were checked

Reconciled to Value 360 Communications's own prospectus and to exchange disclosures, then cross-checked against 4 other independently published compilations of the same filing. Where a stated ratio disagreed with the line items it should come from, the disagreement was settled against the prospectus itself.

The prospectus is the authoritative document. Check anything that matters against it before you act.
