  • SME platform listing

SME issues trade in larger lot sizes with thinner volumes than mainboard listings, which makes exiting a position harder.

The company

What the business actually does

Founded 1970 · Mumbai, Maharashtra · 31 employees

Simca Advertising sells outdoor advertising space in Mumbai. It operates a portfolio of over 100 out-of-home media assets — static hoardings, gantries and digital LED displays — on arterial roads, major junctions, commercial hubs and market areas, and resells that inventory to advertisers alongside media planning, site selection and campaign execution. Formats include hoardings, gantries, bus panels, bus shelters, kiosks, utilities and vinyl signage. The company counts each LED board as six media assets, because every board carries six advertising slots. Buyers are advertising agencies and brands in entertainment, real estate, fashion and lifestyle and insurance, plus government bodies, which were 5.62% of revenue in the nine months to 31 December 2025. Simca owns no advertising structures of its own; sites are leased or sub-leased from third parties and from a proprietorship firm of promoter Fahim Batliwala. Headcount was 31 at 31 December 2025.

Revenue is space selling: 99.58% of the ₹7,777.68 lakh earned in the nine months to 31 December 2025 came from selling advertisement space, the remainder from vinyl mounting and dismounting. Traditional OOH was 63.42% of that revenue and digital OOH 36.01%, up from 14.50% in FY24. The dominant cost is hoarding expense — media space procurement, hoarding and LED rent, government fees, insurance, site commission and electricity — at ₹5,405.03 lakh, or 69.16% of total income in the nine-month period and 77.45% in FY24. EBITDA margin was 18.48%. The structural constraint is that Simca owns no sites: inventory is leased, including from the promoter's proprietorship firm, so margins turn on lease renewal terms, and trade receivables ran 118 days.

Percentages are of paid-up equity, and the “after” column assumes the offer is fully subscribed, which is how the offer document states it. This record does not disclose a pre- and post-issue share count, so the part of the company actually changing hands is not split out — everyone who is not a promoter is shown together.

What the market is bidding

Subscription is hard exchange data. Grey-market premium is not — it is an unofficial quote, shown because readers want it and labelled because it deserves the label.

What an allotment is worth now, before costs

Work it out

What this means for one application

Three calculations, each stating the assumption it rests on.

What one application costs

Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.

Lots
2 lots, 1200 shares, ₹2,19,600 blocked
Shares applied for
1,200
At cut-off price
₹183.00
Amount blocked
₹2,19,600

One lot is 600 shares at ₹1,09,800. This issue requires a minimum of 2 lots, so the smallest application is ₹2,19,600. That is how the SME board is built rather than a quirk of this issue: the minimum application is set above the ₹2,00,000 that caps a retail bid on the mainboard — two lots rather than one. The smallest bid here still sits in the individual investors’ category, the one the subscription figures call retail, and when that category is oversubscribed the minimum application is allotted by draw of lots — so the odds beside this apply directly.

Odds of getting an allotment

When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.

~1%

chance of one lot, per application

Retail subscription
70.89×
Applicants per share available
70.9× the retail quota

This is an estimate of a lottery, not a prediction. Actual odds depend on the final basis of allotment, how many applications were at the minimum lot, and rejections for technical reasons. Applying from multiple distinct PANs is the only legitimate way to hold more tickets in that lottery.

Our read

Easy to misread

Grounded only in figures disclosed in the prospectus. This is analysis, not a recommendation.

Easy to miss in the prospectus

  • The last column is a nine-month stub, not a year: it covers 1 April to 31 December 2025, is not annualised, and the RHP states it is not comparable with the full years beside it.
  • FY23 is the company's first reported period. Simca was incorporated on 17 June 2022, so the column ending 31 March 2023 covers roughly nine and a half months of trading rather than twelve.

How these figures were checked

Reconciled to Simca Advertising's own prospectus and to exchange disclosures, then cross-checked against 10 other independently published compilations of the same filing. Where a stated ratio disagreed with the line items it should come from, the disagreement was settled against the prospectus itself.

The prospectus is the authoritative document. Check anything that matters against it before you act.
