The question this issue poses
In one sentence
The fresh issue of up to 60,00,000 shares exists mainly to put ₹16,477.65 lakh into three Mumbai society redevelopments. ₹11,634.98 lakh of that goes to an LLP the company owns only half of. The question is whether profits booked on percentage of completion become cash for listed shareholders and not for project partners. FY26 profit attributable to owners was ₹21.21 Cr, while operating cash flow was an outflow of ₹37.26 Cr.
IPOVista score
How this issue scores, and why
Every pillar opens to show the raw metric, the curve it was mapped through, the sub-score and its weight. Disagree with the weighting if you like — the arithmetic is all here.
IPOVista score
Broadly well-balanced
60% of the scoring model was backed by disclosed data for Sanghvi Housing, giving medium confidence. Weights for anything missing were redistributed rather than scored as zero.
How this score is builtBelow the line: market sentiment. Capped at 8 of 100 points so a hot grey market can tilt a score but never carry one.

The company
What the business actually does
Founded 2005 · Fort, Mumbai, Maharashtra · 44 employees
Sanghvi Housing and Infrastructure, which builds under the brand "Sanghvi Realty", is a Mumbai residential developer whose core business is redevelopment. It signs development agreements with ageing co-operative housing societies, pays the existing occupants rent for alternate accommodation while their building is demolished and rebuilt, allots them permanent alternate accommodation in the new tower, and sells the remaining flats. The DRHP counts 31 projects aggregating 5,482,635 sq. ft. of developable area and 2,181,772 sq. ft. of saleable area: 6 completed projects (538,755 sq. ft. developable, 198,169 sq. ft. saleable), 10 ongoing (928,880 and 329,036) and 15 upcoming (4,015,000 and 1,654,567). Of the 31, 28 are redevelopments and 3 are greenfield projects on land it acquired. They sit in the Western and Central Suburbs of Mumbai (Bandra to Borivali), South-Central Mumbai (Girgaon, Lalbaug, Worli, Mahim, Dharavi, Sion and others) and Thane district (Thane City and Vasind). Mid-market and economy homes make up 25 of the 31 projects and approximately 84% of their saleable area. The company does not build with its own workforce: civil construction is given to third-party contractors, and the group had 44 permanent employees at 31 August 2026. Most projects are held through 10 subsidiaries and 6 associates, nearly all of them limited liability partnerships or partnership firms with outside partners. It was incorporated on 6 January 2005 as Ashapura Dwellings Private Limited, took its present name in 2007 and became a public company in June 2023.
Revenue is booked as construction progresses, not when flats are sold or handed over: real estate revenue is recognised over time with reference to the proportion of project costs incurred to total estimated project costs. Contract revenue of ₹9,598.28 lakh was 94.25% of FY26 revenue from operations, with the rest from sale of services, rent and maintenance. Revenue from operations grew from ₹62.64 Cr in FY24 to ₹75.59 Cr in FY25 and ₹101.84 Cr in FY26, increases of 20.66% and 34.73%. The redevelopment model limits upfront capital because the company buys development rights instead of land. The DRHP describes the principal outlay before construction as rent and other payments to existing occupants. Construction cost is still carried on the balance sheet until revenue is recognised: inventories (work in progress) rose from ₹100.32 Cr at FY24 to ₹182.04 Cr at FY26, and operating cash flow was negative in all three years. That gap is funded by borrowings of ₹115.25 Cr at 31 March 2026, by contract liabilities of ₹3,431.77 lakh and by project advances, deposits and retention money of ₹2,787.83 lakh. Because projects sit in partnerships, the consolidated profit is shared. Restated profit for FY26 was ₹2,626.36 lakh, of which ₹2,120.54 lakh was attributable to owners of the company and ₹505.82 lakh to non-controlling interests. The non-controlling interests are the other partners in project LLPs and firms. SanghviP Builders LLP is 50% owned, Psanghvi & Jain Builders LLP 60%, Gazdar Homesmiths LLP 65%, SanghviP Aadinath LLP 72%, Fortune (RPJ) Developers 77.50% and Vaibhav Builders & Contractors 51%. The promoters themselves hold the 1% balance in several of the 99%-owned LLPs. The DRHP attributes the rise in the non-controlling share of profit, from 4.29% to 19.26%, principally to profit earned in FY26 by a subsidiary in which non-controlling interests hold 50%. A further layer of profit comes from associates where the company does not consolidate: Shree Naminath Lifespaces LLP (60%), Naminath Erector & Developers LLP and Suparshwa Developers (50% each), among others. Its equity-accounted share of their profit was ₹473.49 lakh in FY26 against ₹150.67 lakh in FY25.
What makes it hard to copy
In the company's own framing, the edge is redevelopment know-how in a land-short city. That covers winning appointments from housing societies, securing member consent, managing transit rent and rehabilitation, and working through MCGM premiums, FSI and TDR purchases and approvals, across 28 redevelopment projects. It points to four projects that received occupation certificates ahead of their RERA completion dates: Sanghvi Palazzo by 20 months 4 days, Onyx by 15 months 21 days, Suparshwa Trinity by 15 months 7 days and Sanghvi Infenia by 14 months 23 days. The DRHP also states there have been no time and cost overruns in its projects since incorporation.

What this means for one application
Three calculations, each stating the assumption it rests on.
What one application costs
Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.
The lot size and price band are not fixed yet, so there is nothing to calculate.
Odds of getting an allotment
When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.
Retail subscription figures are not available yet, so there is nothing to estimate from.
What the grey market implies
Arithmetic on an unofficial quote. The grey market has no clearing house and no obligation to settle — this is sentiment made numeric, not a forecast.
No grey-market quote has been recorded for this issue.
Our read
The case for and against
Grounded only in figures disclosed in the prospectus. This is analysis, not a recommendation.
What works
- Revenue from operations grew from ₹62.64 Cr in FY24 to ₹75.59 Cr in FY25 and ₹101.84 Cr in FY26 (20.66% and then 34.73%), and the year closed at an EBITDA margin of 35.22% in FY26 on the DRHP's own definition.
- There is a delivery record behind the pipeline. Six projects have occupation certificates, four of them well ahead of their RERA completion dates (Sanghvi Palazzo by 20 months 4 days). The DRHP states that no project was delayed in FY24, FY25 or FY26 and that there have been no time and cost overruns since incorporation.
- The pipeline is large relative to what has been built. The 15 upcoming projects carry an estimated 4,015,000 sq. ft. of developable area, approximately 73.23% of the portfolio total. Their average estimated saleable area is approximately 110,304 sq. ft., against approximately 32,904 sq. ft. for ongoing projects.
- Redevelopment needs less capital up front than buying land: the company acquires development rights from a housing society, and the DRHP describes its principal pre-construction outlay as rent and other payments to existing occupants.
- All three funded projects already have commencement certificates and Maharashtra RERA registrations. Sanghvi Horizon and Sanghvi Sapphire were 70.00% and 45.00% complete on 31 August 2026. Their costs are certified by an independent chartered engineer, and the DRHP states that no proceeds will repay loans from promoters, directors or other related parties.
- The balance sheet tidied up in FY26: short-term loans and advances fell from ₹3,152.43 lakh to ₹540.25 lakh, and ₹1,127.84 lakh of unsecured loans from Sapphire Clubotel Private Limited and Suparshwa Healthcare Private Limited was repaid in the year.
- Disclosed per-share figures for FY26 are basic and diluted EPS of ₹14.60, return on net worth of 36.15% and net asset value of ₹40.45 a share, all computed on profit and net worth attributable to owners.
What to weigh against it
- Operating cash flow was negative in every year shown: outflows of ₹3.16 Cr in FY24, ₹24.43 Cr in FY25 and ₹37.26 Cr in FY26. Profit is recognised as construction progresses, while cost piles up in inventory. Work in progress rose 38.42% in FY26 to ₹18,203.93 lakh.
- Borrowings rose from ₹102.83 Cr at FY24 to ₹108.21 Cr at FY25 and ₹115.25 Cr at FY26. Of the FY26 total, ₹5,391.92 lakh, or 46.79%, was unsecured, and the DRHP warns that these loans may be recalled at any time.
- Public money will be shared with project partners. SanghviP Builders LLP, which is to receive ₹11,634.98 lakh for Sanghvi Boulevard, is 50.00% owned by the company. Psanghvi & Jain Builders LLP, which is to receive ₹2,156.91 lakh, is 60.00% owned. The DRHP's risk factor 23 states that the other partners share profits in proportion to their interest, including profits from projects funded out of the net proceeds. It also states that at the date of the DRHP the mode of investment, debt or capital, had not been finalised.
- The largest funded project is at the start of construction. Sanghvi Boulevard was 5.00% complete on 31 August 2026, has a RERA completion date of 31 December 2032, and its 149 saleable units were 100% unsold at 31 March 2026.
- Owners' profit grew far more slowly than headline profit. Restated profit rose 26.21% in FY26, but profit attributable to owners rose only 6.47%, from ₹1,991.64 lakh to ₹2,120.54 lakh. Profit before the share of associates rose just 3.70%, so the equity-accounted share of associates' profit (₹473.49 lakh, up from ₹150.67 lakh) did much of the work.
- Unsold stock is material: 56 unsold units in completed projects and 434 in ongoing projects at 31 March 2026. The DRHP also discloses that it has reversed previously recognised revenue on cancelled bookings and may have to do so again.
- All of the business is in one market: every completed, ongoing and upcoming project is in the Mumbai Metropolitan Region or Thane district, so local prices, approvals and absorption drive the whole book.
- The promoter faces criminal proceedings. Five criminal proceedings are pending against Prithviraj Sankalchand Sanghvi, each of which also names Sanghvi Premises Private Limited. They include a cheating and breach-of-trust complaint over a ₹700.00 lakh development deposit and a contractor's complaint alleging ₹294.20 lakh owed. The company itself faces a ₹500.00 lakh motor-accident compensation claim over a 2022 crash involving a company vehicle.
- Disclosed returns fell in FY26: return on net worth went from 53.13% in FY25 to 36.15%, and the EBITDA margin from 39.12% to 35.22%. The DRHP itself cautions that period-to-period comparisons are not necessarily meaningful under its revenue recognition policy.
- Control stays with one family. Promoters and the promoter group hold 99.99% of the pre-issue capital, the board has one executive director, and the CFO and company secretary were both appointed to those roles in 2026.
Easy to miss in the prospectus
- PAT margin is deliberately left blank in this record. The DRHP's KPI 'PAT Margin' of 25.79% for FY26 (27.53% in FY25, 12.14% in FY24) divides total restated profit of ₹2,626.36 lakh, which includes non-controlling interests, by revenue from operations. This record's patCr instead holds the owners' share, ₹2,120.54 lakh in FY26, so the DRHP's margin would not reconcile with the profit shown beside it.
- Net worth here is the DRHP's 'Net worth, as restated', which excludes non-controlling interest: ₹1,763.46 lakh, ₹3,748.27 lakh and ₹5,865.89 lakh for FY24, FY25 and FY26. Total equity including non-controlling interest was larger, at ₹7,157.14 lakh at FY26, of which ₹1,291.25 lakh was non-controlling interest. RoNW of 36.15% and NAV of ₹40.45 are on the narrower owners' basis.
- The debt to equity ratio of 1.61 times is the DRHP's KPI and capitalisation-statement figure. It divides total borrowings of ₹11,524.75 lakh by total equity of ₹7,157.14 lakh including non-controlling interest, not by the owners' net worth used in the financials table. The DRHP prints three different values for 31 March 2025: 2.30 in the KPI table, 1.84 in Note 39 and 2.36 in Note 39.1.
- Return on capital employed is also printed two ways. The KPI table gives 20.25% for FY26, on closing total equity (including non-controlling interest) plus total debt. Note 39 of the restated statements gives 25.83%, on average total equity plus total debt. The KPI 'Return on Equity' of 36.70% likewise uses total profit over total equity, unlike RoNW.
- At 31 March 2026 the restated balance sheet shows non-current borrowings of ₹8,699.69 lakh and current borrowings of ₹2,825.06 lakh, for total borrowings of ₹11,524.75 lakh. Unsecured term loans from other parties made up ₹2,606.64 lakh of the non-current portion.
- Most interest never reaches the profit and loss line. Borrowing costs of ₹1,034.12 lakh were capitalised into projects in FY26 (₹666.93 lakh in FY25), against finance costs of ₹224.93 lakh charged to profit and loss. EBITDA therefore excludes only the expensed part, and capitalised interest returns later through cost of construction.
- The DRHP's EBITDA is computed from restated profit before tax including the share of profit of associates, ₹473.49 lakh in FY26. EBITDA, and the 35.22% margin, therefore include profits of entities that are not consolidated line by line.
- Two owners' profit figures appear for FY26. The restated profit and loss statement shows profit attributable to owners of ₹2,120.54 lakh and total comprehensive income attributable to owners of ₹2,117.62 lakh. The accounting-ratios table under Other Financial Information labels ₹2,117.62 lakh as profit after tax attributable to owners. This record uses ₹2,120.54 lakh, the figure the RoNW of 36.15% is consistent with.
- Per-share history is distorted by bonus issues: 57 for 1 in March 2023 and 1 for 1 on 28 February 2026, which took the share count from 72,50,000 to 1,45,00,000. NAV was ₹51.70 at FY25 on the old count and ₹40.45 at FY26 on the new one, and the EPS series is adjusted to 1,45,00,000 weighted shares. The certified weighted average cost of acquisition for promoter and promoter group shares acquired in the last one year, 18 months and three years is NIL.
- The promoter family's arrangements changed shortly before filing. On 1 May 2026, Shankesh Prithviraj Sanghvi gifted 40,23,749 shares to Pakshal Prithviraj Sanghvi, resigned as whole-time director and was reclassified from promoter to promoter group; he now holds one share. Prithviraj Sankalchand Sanghvi ceased as a director on 1 October 2024 but received ₹75.60 lakh of professional fees in FY26. Director remuneration payable to Shankesh Prithviraj Sanghvi stood at ₹112.83 lakh at 31 March 2026.
- Customer money is part of the funding. Other non-current liabilities of ₹6,219.60 lakh at FY26 comprise contract liabilities of ₹3,431.77 lakh and project advances, deposits and retention money of ₹2,787.83 lakh. Under RERA, a prescribed share of collections must be held in a separate project account and withdrawn only in proportion to certified completion.
- Note 29 reports no material contingent liabilities. Risk factor 12, however, states that the company is a co-borrower on, or guarantor of, borrowings of its subsidiaries and an associate, and the promoters have personally guaranteed company loans. One construction-finance facility from SMFG India Home Finance, with ₹2,971.00 lakh outstanding, bars further debt at the borrower and requires prepayment if any unit sells below a stipulated minimum price.
- Some subsidiaries carry their own issues. Vaibhav Builders & Contractors Private Limited lost ₹7.65 lakh in FY26 and had negative reserves of ₹14.27 lakh. For SanghviP Aadinath LLP, acquired in FY2026-27, the DRHP notes that the signed partnership deed had yet to be received at its date.
- The objects table dates Sanghvi Sapphire's development agreement to 12 November 2024 and its commencement certificate to 12 January 2024, earlier than the agreement. The ongoing-projects table gives the same commencement certificate date.
- The 'Sanghvi' name is not exclusive to the company. Two trademark applications filed on 20 February 2025 stood objected as of 31 August 2026, and the DRHP carries a risk factor on third parties using similar or identical names.
- Peer P/E multiples in the DRHP are based on closing prices on 23 September 2026 and run from 16.62 times (Hubtown) to 441.38 times (Arkade Developers). The arithmetic average of 109.83 times is driven by Arkade's EPS of ₹0.29.
- The company may raise up to 20% of the issue size in a pre-IPO placement before filing the red herring prospectus, and any amount so raised reduces the issue.
- Industry data in the DRHP, including the market context for redevelopment in the MMR, comes from a CareEdge Research report that the company commissioned and paid for in connection with the issue.
