  • SME platform listing

SME issues trade in larger lot sizes with thinner volumes than mainboard listings, which makes exiting a position harder.

The company

What the business actually does

Founded 2005 · Himatnagar, Sabarkantha, Gujarat · 9 employees

RFBL Flexi Pack makes and resells printed multilayer flexible packaging — plastic film rolls and pouches — from a single plant at Himatnagar in Gujarat's Sabarkantha district. It laminates cast polypropylene, cast polyethylene, BOPP and metallised films with inks and adhesives into customised rolls and pouches, and separately buys finished CPE and CPP film and woven fabric packaging from other manufacturers to sell on. Its customers are businesses, not consumers: the prospectus names food packaging (snacks, spices, grains), pharmaceutical and healthcare packing, and home and personal care items such as detergents. Scrap from production is sold on for reprocessing. The company was incorporated in 2005 as Sabar Flexi Pack Private Limited and had nine employees across three locations on 30 November 2025.

Revenue is sales of film and pouches to B2B buyers, and inputs absorb nearly all of it: in FY25 cost of materials consumed was Rs 47.86 Cr and purchases of stock-in-trade Rs 74.97 Cr against revenue from operations of Rs 135.46 Cr. Bought-in goods are now the larger half of sales — trading was Rs 43.45 Cr of the Rs 69.66 Cr booked in the eight months to 30 November 2025 — because orders needing higher precision are outsourced to third-party manufacturers; the prospectus states trading yields lower margins than manufacturing for limited value addition. The plant ran at 52.74% of 5,040 MT capacity in FY25, and the top five customers supplied 79.83% of that year's revenue.

Percentages are of paid-up equity, and the “after” column assumes the offer is fully subscribed, which is how the offer document states it. This record does not disclose a pre- and post-issue share count, so the part of the company actually changing hands is not split out — everyone who is not a promoter is shown together.

What the market is bidding

Subscription is hard exchange data. Grey-market premium is not — it is an unofficial quote, shown because readers want it and labelled because it deserves the label.

What an allotment is worth now, before costs

Work it out

What this means for one application

Three calculations, each stating the assumption it rests on.

What one application costs

Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.

Lots
2 lots, 6000 shares, ₹3,00,000 blocked
Shares applied for
6,000
At cut-off price
₹50.00
Amount blocked
₹3,00,000

One lot is 3000 shares at ₹1,50,000. This issue requires a minimum of 2 lots, so the smallest application is ₹3,00,000. That is how the SME board is built rather than a quirk of this issue: the minimum application is set above the ₹2,00,000 that caps a retail bid on the mainboard — two lots rather than one. The smallest bid here still sits in the individual investors’ category, the one the subscription figures call retail, and when that category is oversubscribed the minimum application is allotted by draw of lots — so the odds beside this apply directly.

Odds of getting an allotment

When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.

~9%

chance of one lot, per application

Retail subscription
11.34×
Applicants per share available
11.3× the retail quota

This is an estimate of a lottery, not a prediction. Actual odds depend on the final basis of allotment, how many applications were at the minimum lot, and rejections for technical reasons. Applying from multiple distinct PANs is the only legitimate way to hold more tickets in that lottery.

Our read

Easy to misread

Grounded only in figures disclosed in the prospectus. This is analysis, not a recommendation.

Easy to miss in the prospectus

  • The final column is an eight-month stub to 30 November 2025, not a full year, so it is not comparable with the FY23-FY25 columns. The prospectus annualises it to Rs 104.50 Cr, a 22.86% decrease on FY25 revenue.
