The company

What the business actually does

Founded 1990 · Mumbai, Maharashtra (registered and corporate office, Vile Parle West); manufacturing in Gujarat and Uttar Pradesh · 2,077 employees

Kusumgar makes engineered fabrics — woven, coated and laminated synthetic cloth built from polyamide and polyester filaments using polyurethane chemistry — and, increasingly, the finished items sewn from them. The fabrics go into parachutes and other aerial systems, tactical clothing and specialty gear, camouflage nets, decoys and shelters, backing for tapes, mechanical rubber goods, inflatables, and outdoor gear such as backpacks, luggage, tents, rainwear and athleisure. The prospectus counts over 1,000 unique fabric configurations (SKUs) as at March 31, 2026. Customers are mostly other manufacturers who build the fabric into their own products, plus governments including the Indian government, which buy the finished defence systems directly. Production runs across six plants in Gujarat and one fabrication unit in Uttar Pradesh, covering weaving, dyeing, printing, finishing, coating, lamination and cut-and-sew.

Revenue is fabric and finished-product sales to industrial and government buyers: ₹692.00 crore from operations in FY26, down from ₹779.00 crore in FY25. FY26 sales split four ways — aerospace and defence fabrics 31.67%, industrial and automotive fabrics 24.43%, aerospace and defence solutions 22.97%, outdoor and lifestyle fabrics 18.57% — with 39.99% sold outside India. Cost sits in polyamide and polyester feedstock bought from a narrow supplier base (top 10 suppliers were 51.42% of materials consumed in FY26) and in a plant base running at 49.50% capacity utilisation. The structural constraints are concentration and working capital: top 10 customers were 59.52% of FY26 revenue and the working-capital cycle stretched to 90 days, against a 27.15% EBITDA margin.

Percentages are of paid-up equity, and the “after” column assumes the offer is fully subscribed, which is how the offer document states it. This record does not disclose a pre- and post-issue share count, so the part of the company actually changing hands is not split out — everyone who is not a promoter is shown together.

Subscription is hard exchange data. Grey-market premium is not — it is an unofficial quote, shown because readers want it and labelled because it deserves the label.

What an allotment is worth now, before costs

Work it out

What this means for one application

Three calculations, each stating the assumption it rests on.

What one application costs

Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.

Lots
1 lot, 35 shares, ₹14,665 blocked

₹14,665

One lot is 35 shares at ₹14,665. Retail applications are capped at ₹2,00,000, which allows up to 13 lots here — apply for more and you are bidding as a non-institutional investor instead.

Odds of getting an allotment

When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.

~4%

Retail subscription

Applicants per share available
27.9× the retail quota

This is an estimate of a lottery, not a prediction. Actual odds depend on the final basis of allotment, how many applications were at the minimum lot, and rejections for technical reasons. Applying from multiple distinct PANs is the only legitimate way to hold more tickets in that lottery.

Our read

The case for and against

Grounded only in figures disclosed in the prospectus. This is analysis, not a recommendation.

What works

  • EBITDA was Rs 131.85 Cr in FY24, Rs 188.39 Cr in FY25 and Rs 187.85 Cr in FY26, the last a fall of 0.29%, on revenue 11.17% lower at Rs 692.00 Cr against Rs 779.00 Cr. The EBITDA margin on those figures was 28.18%, 24.18% and 27.15%.
  • Net worth was Rs 140.36 Cr in FY24 and rose in both transitions on record, to Rs 257.75 Cr in FY25 and Rs 502.95 Cr in FY26. Total borrowings were Rs 76.53 Cr, Rs 246.50 Cr and Rs 223.58 Cr over the same years, so borrowings stood at 0.55x net worth in FY24, 0.96x in FY25 and 0.44x in FY26.
  • The book was subscribed 299.51 times in the QIB category, 174.28 times in NII and 27.88 times in retail on day three, 135.76 times overall.
  • FY26 sales were split aerospace and defence fabrics 31.67%, industrial and automotive fabrics 24.43%, aerospace and defence solutions 22.97% and outdoor and lifestyle fabrics 18.57%, with 39.99% sold outside India.

What to weigh against it

  • Revenue from operations fell from Rs 779.00 Cr in FY25 to Rs 692.00 Cr in FY26, down 11.17%, and profit after tax fell from Rs 111.99 Cr to Rs 98.20 Cr, down 12.31%.
  • The net profit margin was lower in each of the two transitions the record carries: Rs 84.40 Cr on Rs 467.91 Cr in FY24 is 18.04%, Rs 111.99 Cr on Rs 779.00 Cr in FY25 is 14.38%, and Rs 98.20 Cr on Rs 692.00 Cr in FY26 is 14.19%.
  • The record puts top 10 customers at 59.52% of FY26 revenue and the top 10 suppliers at 51.42% of FY26 materials consumed.
  • Nothing was raised for the company: the fresh issue was Rs 0 Cr and the whole Rs 650 Cr was an offer for sale. Promoter holding was 90.47% before the issue and 75.68% after, a fall of 14.79 percentage points.

Easy to miss in the prospectus

  • Price marks on record: Rs 569 at listing, Rs 602.80 at the day-one close, and Rs 549 as at 23 October 2026 — 8.93% below the day-one close and 31.03% above the Rs 419 band top.
  • The record puts FY26 capacity utilisation at 49.50% and the working-capital cycle at 90 days, and carries no later reading of either.
  • The record carries no valuation, peer, anchor or allocation data, and no total assets or cash flow from operations for any of FY24, FY25 or FY26.
