IPOVista score

A trade-off in both directions

63% of the scoring model was backed by disclosed data for Fractal Industries, giving medium confidence. Weights for anything missing were redistributed rather than scored as zero.

Read this before the number

  • Leveraged balance sheet

Debt-to-equity of 1.8× leaves limited headroom if demand softens or rates rise.

  • SME platform listing

SME issues trade in larger lot sizes with thinner volumes than mainboard listings, which makes exiting a position harder.

The IPOVista Score is a transparent summary of disclosed fundamentals and issue terms. It is research, not investment advice, and it cannot predict listing performance.

The company

What the business actually does

Founded 2020 · Mumbai, Maharashtra · 45 employees

Fractal Industries designs, sources and manufactures garments for online fashion marketplaces and runs the warehousing and fulfilment behind them. It began in 2020 making clothing for Myntra, later adding Ajio and Flipkart. Under the model it adopted in Fiscal 2025 it produces apparel under brands the marketplaces themselves own, forecasts demand, holds inventory and sells through the platform, which charges a commission. An older vertical sells garments outright to the platform, which then owns the stock. It also sells supply-chain services around this: order and inventory management, returns handling, logistics and order-anomaly detection. Its manufacturing unit is in Mumbai, with warehouses in Gujarat, Maharashtra, Haryana, West Bengal and Karnataka, and stated monthly capacity above 300,000 garment units. It employed 45 permanent staff and 38 contract workers at 30 September 2025.

Revenue is the sale value of garments, booked either outright to the marketplace or, since Fiscal 2025, through the platform under its own brands with a commission deducted. Materials dominate the cost base: cost of material consumed was 51.57% of total income in FY25 and 50.44% in H1 FY26, against 106.16% in FY24 and 92.76% in FY23. The structural constraint is customer concentration — the top ten customers were 100.00% of revenue in FY25, and one customer alone was 78.45% of revenue in the six months to 30 September 2025. Carrying demand-forecast and inventory risk under the newer model, rather than producing to a platform's order, is what makes that concentration bite.

Percentages are of paid-up equity, and the “after” column assumes the offer is fully subscribed, which is how the offer document states it. This record does not disclose a pre- and post-issue share count, so the part of the company actually changing hands is not split out — everyone who is not a promoter is shown together.

What an allotment is worth now, before costs

Work it out

What this means for one application

Three calculations, each stating the assumption it rests on.

What one application costs

Shares are applied for in whole lots at the cut-off price. The full amount is blocked in your bank account under ASBA, not debited, until allotment.

Lots
2 lots, 1200 shares, ₹2,59,200 blocked
Shares applied for
1,200
At cut-off price
₹216.00
Amount blocked
₹2,59,200

One lot is 600 shares at ₹1,29,600. This issue requires a minimum of 2 lots, so the smallest application is ₹2,59,200. That is how the SME board is built rather than a quirk of this issue: the minimum application is set above the ₹2,00,000 that caps a retail bid on the mainboard — two lots rather than one. The smallest bid here still sits in the individual investors’ category, the one the subscription figures call retail, and when that category is oversubscribed the minimum application is allotted by draw of lots — so the odds beside this apply directly.

Odds of getting an allotment

When the retail category is oversubscribed, SEBI requires a lottery for the minimum lot. Every application has the same chance, whatever its size.

~24%

chance of one lot, per application

Retail subscription
4.09×
Applicants per share available
4.1× the retail quota

This is an estimate of a lottery, not a prediction. Actual odds depend on the final basis of allotment, how many applications were at the minimum lot, and rejections for technical reasons. Applying from multiple distinct PANs is the only legitimate way to hold more tickets in that lottery.

Our read

Easy to misread

Grounded only in figures disclosed in the prospectus. This is analysis, not a recommendation.

Easy to miss in the prospectus

  • The FY25 column is STANDALONE while FY23, FY24 and the H1 FY26 column are CONSOLIDATED. Fractal Sparkon Engineers Private Limited ceased to be a subsidiary with effect from 20 September 2024, so the four periods are not like-for-like.
  • The period ended 30 September 2025 is a six-month stub, not a full year. Its PAT of Rs 6.78 Cr sits against FY25's Rs 7.54 Cr for twelve months, and its Rs 9.29 Cr EBITDA against FY25's Rs 11.15 Cr.
  • Revenue is not a rising series. FY23 (Rs 88.91 Cr) is above FY25 (Rs 85.45 Cr), with FY24 at Rs 49.94 Cr in between. The RHP attributes the swing to the shift from the outright model to the PPMP model in Fiscal 2025, not to a simple decline and recovery. FY24 cost of material consumed was 106.16% of total income.

How these figures were checked

Reconciled to Fractal Industries's own prospectus and to exchange disclosures, then cross-checked against 7 other independently published compilations of the same filing. Where a stated ratio disagreed with the line items it should come from, the disagreement was settled against the prospectus itself.

The prospectus is the authoritative document. Check anything that matters against it before you act.
